Terms of Service

By accessing or using tknctrl at tknctrl.cloud (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and tknctrl ("we," "us," or "our"). You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

tknctrl is a prompt optimization platform that transforms rough text ideas and UI screenshots into precision prompts for use with AI tools including but not limited to Claude, GPT-4o, Gemini, Cursor, and Codex. The Service is provided on a subscription basis with plans as described on our pricing page.

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized access to your account.
• Take responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or provide false information.

Free trial. New Pro accounts receive a 3-day free trial. A valid payment method is required to start. You will not be charged until the trial period ends. You must cancel before the trial ends to avoid being charged. It is your responsibility to cancel before the trial or renewal date.

Subscription plans. We offer monthly and annual subscription plans as described on our pricing page. Prices are in USD and are exclusive of applicable taxes.

Billing. Subscriptions are billed in advance on a recurring basis (monthly or annually). Billing is handled by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for all fees incurred.

Cancellation. You may cancel your subscription at any time through your account dashboard or by contacting us at contact@tknctrl.cloud. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.

Refunds. All charges are final and non-refundable. Please see our Refund Policy for full details. It is your responsibility to cancel before the trial ends or before any renewal date.

Price changes. We reserve the right to change subscription prices with at least 30 days' advance notice via email. Continued use after the effective date constitutes acceptance of the new price.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Generate prompts intended to produce illegal, harmful, abusive, defamatory, or obscene content.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Use automated scripts or bots to access the Service in a manner that degrades performance for others.
• Circumvent plan limits, rate limits, or access controls.
• Resell, sublicense, or redistribute access to the Service without our written consent.
• Upload screenshots or content that contain personally identifiable information of third parties without their consent.

Violation of these rules may result in immediate suspension or termination of your account without refund.

Our IP. The Service, including its design, code, trademarks, and content (excluding user-submitted content), is owned by tknctrl and protected by applicable intellectual property laws.

Your content. You retain all ownership rights in the prompts and screenshots you submit. By submitting content, you grant us a limited, non-exclusive, royalty-free license to process your content solely for the purpose of providing the Service to you.

Output ownership. The optimized prompts generated by the Service are provided to you for your unrestricted use. We make no claim of ownership over outputs generated for your account.

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that (a) the Service will be uninterrupted or error-free; (b) outputs generated will be accurate or suitable for any particular purpose; or (c) any defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TKNCTRL, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to indemnify, defend, and hold harmless tknctrl and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without prior notice. Upon termination, your right to use the Service ceases immediately.

You may terminate your account at any time by cancelling your subscription and deleting your account in Settings, or by contacting us at contact@tknctrl.cloud.

These Terms are governed by the laws of the State of Delaware, USA. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the JAMS Streamlined Arbitration Rules.

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email. Your continued use after the effective date constitutes acceptance of the revised Terms.

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and tknctrl regarding the Service.
